Terms of Use

1. Acceptance of terms

By downloading, installing, or using any Ceven Labs application (including LayOvr), using any web tool on cevenlabs.com (including Bike Fit), or browsing this website (together, "the Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Services.

These Terms form a legal agreement between you and Ceven Labs, a business registered in Denmark (CVR: 46571975), based in Aarhus, Denmark ("Ceven Labs", "we", "us").

2. License to use the apps

Subject to your compliance with these Terms, Ceven Labs grants you a limited, non-exclusive, non-transferable, revocable license to use our apps on Apple devices you own or control, solely for your personal, non-commercial use.

You may not:

• Copy, modify, or distribute the Services or any part of them
• Reverse engineer, decompile, or attempt to extract source code
• Use the Services for commercial purposes without written permission
• Use the Services in a way that violates any applicable law

3. Subscriptions and in-app purchases

Some apps offer a free tier with core features and optional paid upgrades. All purchases and auto-renewing subscriptions are processed by Apple through the App Store. By purchasing, you agree to Apple's Media Services Terms and Conditions.

• Pricing: Current prices are always shown in the App Store before purchase
• Billing: Your Apple ID account is charged upon purchase confirmation and at the start of each renewal period
• Auto-renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• Cancellation: Cancel anytime via iOS Settings → Apple ID → Subscriptions. Cancellation takes effect at the end of the current billing period
• Refunds: Refund requests are handled by Apple in accordance with their policies
• Free trials: If a free trial is offered, it converts automatically to a paid subscription unless cancelled before the trial ends

4. Health and wellness disclaimer

No Ceven Labs product is a medical device. Our products provide general wellness and fitting information based on published research. They do not provide medical advice, diagnosis, or treatment; do not replace advice from a licensed healthcare provider; do not guarantee any specific outcome; and cannot account for your individual medical conditions, medications, or contraindications.

4.1 LayOvr (jet lag and circadian guidance)

LayOvr's guidance on sleep windows, light exposure, caffeine, and naps is based on published chronobiological research and is informational only. Consult your doctor before following the app's guidance if you have a sleep or circadian rhythm disorder, are pregnant or breastfeeding, take medication affecting sleep or alertness, or are a shift worker. References to melatonin timing are informational; melatonin's legal status and dosage vary by country — consult a pharmacist or physician before use.

4.2 Bike Fit (geometry recommendations)

Bike Fit produces starting-point estimates from body measurements using published fitting methods. They are not a substitute for a professional bike fit. Applying position changes to a bicycle and riding it involves inherent risk of discomfort or injury. Make changes gradually, and stop and seek professional advice if you experience pain or numbness.

5. Assumption of risk and your responsibility

You are solely responsible for decisions you make based on information from the Services, including health, travel, and equipment decisions. You agree that you use the Services voluntarily and at your own risk, and that you will seek professional medical or technical advice where appropriate. You must not rely on the Services in any situation where failure or inaccuracy could lead to injury, health damage, or any other harm.

6. HealthKit data

If you grant one of our apps access to Apple HealthKit, you confirm you are the authorized user of that health data. Our apps read health data only for the purposes described in our Privacy Policy. We do not upload health data externally.

7. Intellectual property

All content in the Services, including but not limited to app engines and algorithms, UI design, graphics, text, and the Ceven Labs and LayOvr names and logos, is owned by Ceven Labs or its licensors and is protected by copyright and other intellectual property laws.

8. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by Danish and EU law, Ceven Labs disclaims all implied warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or that defects will be corrected.

9. Limitation of liability

To the maximum extent permitted by applicable law, Ceven Labs shall not be liable for any indirect, incidental, special, punitive, or consequential damages, or any loss of profits, data, or goodwill, arising from or related to your use of (or inability to use) the Services — including but not limited to missed meetings, travel disruptions, equipment damage, physical injury, or health outcomes.

To the maximum extent permitted by applicable law, Ceven Labs' total aggregate liability for all claims arising from or related to the Services shall not exceed the amount you paid to Ceven Labs for the Services in the 12 months preceding the claim, or DKK 400 if you paid nothing.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence or intent, or your mandatory rights as a consumer under Danish and EU law.

10. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Ceven Labs and its owner from claims, damages, and reasonable costs (including legal fees) arising from your violation of these Terms or your misuse of the Services. This does not apply to the extent a claim results from our own breach, negligence, or intent, and it does not limit your mandatory rights as a consumer.

11. Governing law and disputes

These Terms are governed by the laws of Denmark. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Aarhus, Denmark, unless mandatory consumer protection laws in your country of residence require otherwise.

If you are a consumer within the EU, you also have the right to use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr

12. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision shall be replaced by a valid one that most closely reflects its intent.

13. Changes to these Terms

We may update these Terms as our products evolve. We will notify you of material changes via the apps, App Store release notes, or this website. Continued use after changes constitutes acceptance.
